LICENSE AGREEMENT

USE OF THIS SITE CONSTITUTES ACCEPTANCE OF THIS AGREEMENT.
Read Carefully. If you do not accept this License Agreement, do not use this site or its Images. This License Agreement is by and between "Free Christ Images", located in Dahlonega, GA, and the group, organization or individual entering into this Agreement as "User".

Briefly,
Royalty Free does not mean copyright free or free of terms and conditions!

You may use the Images on this site for NON-COMMERCIAL purposes. Click on images for full size, then right click image and save to your computer.

We encourage image use for church activities such as Bible classes, worship services, sermon illustrations and church bulletins.

If you use the Images on web pages, please link back to us somewhere on the web page where the image is displayed.

Our copyrighted original art Coloring Pages and Illuminated Initials may be copied for class or personal use, but not published in any form including web pages.

You may not download our database or make CD or DVD collections of our images to distribute, free or commercial, in any way that would be considered competing against Free Christ Images with our own beautifully restored Images. Commercial use requires a fee.

These are reasonable terms, so please help keep Free Christ Images FREE!

1. LICENSE GRANT
1.1 Subject to the restrictions set forth in Article 2, Free Christ Images hereby grants to User a limited, non-exclusive, non-transferable, revocable, worldwide license to copy "Images" made available to User via the service for its ordinary personal and/or group purposes including derivative works. When using the images on a web page, please include a live clickable link back to this site so others can find this resource.

1.2 Commercial use granted with fee to help support Free Christ Images. Images used for any commercial purpose including publishing, book covers, prints, games, video, tv, movies, cd's, advertising and commercial PowerPoint presentations are available for commercial use for a per image fee ranging from $15 to $275 depending on size and use. Multiple Image packages are available and fees vary based on use. Larger Images are available (if needed) for commercial use with the licensing fee based on use. To purchase an Image, a multiple Image package, or a higher resolution (larger) Image, contact us for fee and availability.

2. USE RESTRICTIONS
2.1 User may not (a) copy or download all or a substantial portion of the Free Christ Images database containing the Images without Free Christ Images' prior written consent, (b) compete against Free Christ Images either directly or indirectly using a substantial portion of our restored Images, (c) sell, license, sublicense, rent, transfer or distribute any original art found on this site including logos, backgrounds, borders, coloring pages, illuminated initials and Image collection CD's, (d) use any Image in any manner which may be considered offensive, indecent or objectionable, or to defame, libel or discriminate, or (e) use Images for any for-profit endeavor without first paying the commercial use fee to Free Christ Images.

2.2 COPYRIGHTED TEXT
This License DOES NOT grant the User the right to copy for the purpose of publishing any textual (Text) content from any page of the Free Christ Images website without the written consent of Free Christ Images. "Publishing" is defined as distributing any of the Text content of Free Free Christ Images in electronic form such as web pages and paper form such as books, magazines and periodicals . Users are free to copy any Text for their unpublished personal and group use.

2.3 User acknowledges that a breach of its obligations under this Agreement will result in irreparable and continuing damage for which monetary damages may not be sufficient, and agrees that Free Christ Images will be entitled to seek, in addition to its other rights and remedies hereunder or at law, injunctive and/or other equitable relief, and such further relief as may be proper from a court of competent jurisdiction. All remedies of Free Christ Images set forth in this Agreement are cumulative and in addition to and not in lieu of any other remedy of Free Christ Images at law or in equity.

2.4 User agrees to use the Images and Text only as expressly permitted by this Agreement and in accordance with all applicable laws, rules and regulations. Except as expressly set forth herein, User shall have no other rights or license of any kind with respect to the Images and Text.

3. CONSIDERATION
3.1 Fees under this Agreement are for commercial use of Images only. Non-commercial private and group use is without charge and encouraged.

4. TERM and TERMINATION
4.1 The term of this Agreement shall continue in effect unless and until (a) the parties mutually agree to terminate this Agreement, or (b) Free Christ Images terminates this Agreement in accordance with Section 4.2.

4.2 Free Christ Images may terminate this Agreement immediately if User breaches this Agreement.

4.3 Upon the expiration or termination of this Agreement, User shall immediately cease all use of any Images to which it has received a license under Section 1.

5. DISCLAIMERS and LIMITATION OF LIABILITY
5.1 User represents, warrants and covenants that it will comply with all of its obligations set forth in this Agreement.
5.2 EXCEPT AS SET FORTH ABOVE, NEITHER PARTY MAKES ANY REPRESENTATION OR WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, WITH RESPECT TO THE IMAGES OR THE SERVICE, THE TIMELINESS THEREOF, THE RESULTS TO BE OBTAINED BY THE USE THEREOF OR ANY OTHER MATTER.
5.3 IN NO EVENT SHALL Free Christ Images BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF USE, LOSS OF PROFITS OR REVENUES OR OTHER ECONOMIC LOSS OF LICENSEE OR ANY THIRD PARTY), WHETHER IN TORT, CONTRACT OR OTHERWISE. TO THE EXTENT THE FOREGOING IS NOT ENFORCEABLE FOR ANY REASON, Free Christ Images' TOTAL LIABILITY HEREUNDER SHALL NOT EXCEED FIFTY DOLLARS.

6. INDEMNIFICATION
6.1 User, at its expense, will indemnify, defend and hold harmless Free Christ Images and its affiliates and their officers, directors, managers and employees, (collectively, the "Licensee Indemnified Parties") from and against any claims, losses, damages, liabilities, costs and expenses, including, without limitation, reasonable attorneys' fees, based on or arising out of (a) User's breach or alleged breach of this Agreement, or (b) User's use of the Images.

7. PROPRIETARY RIGHTS
7.1 User acknowledges that title and ownership rights in and to the Images contained in the Service and all the rights therein and legal protections with respect thereto remain exclusively with Free Christ Images and its third party providers and that User receives no proprietary rights whatsoever in or to such except for the license granted herein.

8. ASSIGNMENT
8.1 This Agreement shall not be assigned or transferred by User without the prior written consent of Free Christ Images, and any attempt by User to so assign or transfer this Agreement without such written consent shall be null and void. This Agreement shall be valid and binding on the parties hereto and their successors and permitted assigns.

9. RELATIONSHIP OF THE PARTIES
9.1 The parties are independent contractors. Nothing in this Agreement will be construed to constitute or appoint either party as the agent, partner, joint venturer or representative of the other party for any purpose whatsoever, or to grant to either party any right or authority to assume or create any obligation or responsibility, express or implied, for or on behalf of or in the name of the other, or to bind the other in any way or manner whatsoever.

10. GOVERNING LAW and VENUE
10.1 This Agreement shall be governed by, and construed in accordance with, the laws of the State of Texas without regard to its conflict or choice of laws principles. The parties hereby consent to the exclusive jurisdiction of, and venue in, any federal or state court of competent jurisdiction located in the County of Lumpkin, Georgia, for the purposes of adjudicating any matter arising from or in connection with this Agreement.

11. NOTICES AND SURVIVAL
11.1 All notices given under this Agreement must be in writing and may be by certified mail or email. Amendments to this agreement will be posted here with day and year time stamp.
11.2 Articles 2 through 12 shall survive the expiration or termination of this Agreement.

12. COMPLETE AGREEMENT
12.1 This Agreement supersedes all prior agreements and understandings, and constitutes the complete agreement and understanding between the parties with respect to the subject matter hereof. No modification to this Agreement shall be valid or binding with respect to either party unless acknowledged and agreed to in writing and signed by a duly authorized officer of each party. Any forbearance or delay on the part of either party in enforcing any provision of this Agreement or any of its rights hereunder shall not be construed as a waiver of such provision or of a right to enforce same for such occurrence or any future occurrence. Except for the right of Free Christ Images' third party providers to enforce this Agreement with respect to their respective Images, no other party is intended, or shall be deemed, to be a beneficiary of any provision of this Agreement.
